Summary
Drop Sigma is a multi-tenant SaaS for Shopify merchants providing AI email automation, RMA workflows, vendor management, and team chat. Subscriptions are billed externally at
dropsigma.com through Stripe — not through Shopify's in-app billing API. By signing up, you agree to the following terms.
1. Acceptance
By signing up for, accessing, or otherwise using Drop Sigma (the "Service"), you ("Merchant", "Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms form a binding contract between you and Drop Sigma ("we", "us", "our"), a United States-based service.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and the term "you" refers to that entity.
2. Service Description
Drop Sigma is a multi-tenant SaaS that connects to your Shopify store(s) to provide:
- AI email automation — drafted and (optionally) auto-sent replies to customer emails, powered by Anthropic Claude.
- RMA workflow management — returns, refunds, and exchange request handling.
- Vendor management — routing orders to suppliers / dropshippers based on rules you configure.
- Team chat — real-time messaging between operators inside your business.
Specific features, usage limits, and integrations available to you depend on the plan you select at dropsigma.com.
3. Account Requirements
- You must be at least 18 years old and have the legal capacity to enter into binding contracts.
- You must operate a legitimate business — Drop Sigma is not available for personal, hobbyist, or illegal use.
- You must provide accurate, current, and complete information at signup and keep it updated.
- You are responsible for all activity under your account and for keeping your credentials safe.
- You may invite team members and vendors; you remain responsible for their compliance with these Terms.
- One Drop Sigma account per business entity — sharing a single account across multiple unrelated businesses is not permitted.
4. External Billing Disclosure
Important — please read carefully
Drop Sigma subscriptions are billed externally at
dropsigma.com using Stripe.
We do not use Shopify's in-app billing API.
- Pricing, plan upgrades, downgrades, and cancellations are managed at dropsigma.com → Billing. The Shopify admin does not display or control your Drop Sigma subscription.
- For Shopify App Store users: Drop Sigma is offered free at the App Store level. Paid plans are entirely optional and purchased separately at dropsigma.com after you have installed the app.
- Your payment method (credit card, debit card) is collected and stored by Stripe under their security and compliance standards. Drop Sigma never sees your raw card number.
- Subscriptions renew automatically on the same day each month (or year, if you select annual billing) until cancelled.
- All prices are listed at dropsigma.com and are exclusive of taxes unless stated otherwise. Local taxes may be added at checkout.
- We may change prices for future billing cycles with at least 30 days' notice by email and dashboard banner.
- Failure to pay within 14 days of the due date may result in suspension of paid features. Your data remains intact during suspension.
5. Acceptable Use
You agree NOT to use the Service to:
- Send spam, unsolicited bulk email, phishing, or deceptive communications.
- Host, transmit, or distribute illegal, infringing, defamatory, or hateful content.
- Abuse the AI features — for example, by attempting to extract the underlying model, bypass safety filters, or generate content that violates Anthropic's Acceptable Use Policy.
- Resell, sublicense, white-label, or otherwise transfer Drop Sigma access to third parties without our prior written permission.
- Reverse-engineer, decompile, or attempt to extract the source code, models, or proprietary algorithms of the Service.
- Bypass per-tenant rate limits, security controls, or attempt to access another tenant's data.
- Violate applicable laws (including GDPR, CCPA, anti-spam laws such as CAN-SPAM and CASL, sanctions, and consumer-protection regulations).
- Use the Service to compete with Drop Sigma by benchmarking it for the purpose of building a competing product.
We reserve the right to suspend or terminate accounts that violate this section, with or without notice depending on severity.
6. Fair Use
Some plans are marketed as offering "unlimited" usage of certain features (for example, unlimited email replies). "Unlimited" is subject to the following soft caps, intended only to prevent abuse and protect platform stability:
- Reasonable usage of email automation is considered to be up to approximately 50,000 outbound email replies per tenant per month.
- Reasonable usage of RMA / refund workflows is up to approximately 10,000 RMA tickets per tenant per month.
- Reasonable usage of team chat is up to approximately 500,000 messages per tenant per month.
Tenants whose usage materially exceeds these limits may be contacted for a review of their use case. In rare cases of clear abuse, we may rate-limit specific features, require an upgrade to a higher plan, or — for severe misuse — suspend the account. We will always attempt to contact you before taking action.
7. Service Availability
We target 99.5% monthly uptime on a best-effort basis. We do not offer a binding SLA on the free tier of the Service. Paid tiers may have specific SLA terms documented in their plan pages.
Scheduled maintenance is announced in advance via the dashboard. We are not liable for downtime caused by:
- Third-party providers (Shopify, Google, Anthropic, Railway, Stripe, Resend) that we depend on.
- Force majeure events, network outages outside our control, or DDoS attacks.
- Issues with your own internet connection, OAuth integrations, or merchant-supplied credentials.
8. Intellectual Property
Drop Sigma — including its name, logo, software, documentation, design system, AI prompt engineering, and platform code — is owned by Drop Sigma and protected by copyright, trademark, and other intellectual-property laws.
We grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your business while your subscription is active and you remain in compliance with these Terms. All rights not expressly granted are reserved.
9. Data Ownership
You retain all rights, title, and interest to the data you upload to Drop Sigma or that we sync from your connected stores and email accounts ("Customer Data"). Drop Sigma processes Customer Data solely under your authority, as a data processor on your behalf, in accordance with our Privacy Policy.
You grant Drop Sigma a limited licence to host, copy, transmit, display, and process Customer Data as necessary to deliver the Service. You are responsible for ensuring you have the legal right to sync that data into Drop Sigma — including consents required from your end customers under GDPR, CCPA, and any other applicable law.
10. Refunds
Refunds are handled in accordance with our Refund Policy:
- Monthly subscriptions are non-refundable except where required by law. Cancellations stop future billing but do not refund the current month.
- Annual subscriptions may be cancelled at any time; we will prorate and refund any unused complete months, less a 5% processing fee.
- Refund requests should be sent to support@dropsigma.com and are typically processed within 7 business days.
11. Termination
- Termination by you — you may cancel any time from dropsigma.com → Billing. Cancellation takes effect at the end of the current billing period. You may also uninstall the app from your Shopify admin at any time.
- Termination for convenience by us — we may terminate or suspend your account with 30 days' written notice for any reason, including discontinuing the Service.
- Termination for cause — we may suspend or terminate your account immediately and without notice if you materially breach these Terms, fail to pay, engage in fraud, violate applicable law, or pose a security or reputational risk to the Service.
- Effect of termination — on termination, you have 30 days to export your data via the dashboard or API; after that, we delete it in accordance with the retention rules in our Privacy Policy. Provisions that by their nature survive termination (e.g., IP, liability, indemnification, governing law) remain in effect.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- OUR AGGREGATE LIABILITY UNDER THESE TERMS — WHETHER IN CONTRACT, TORT, OR OTHERWISE — IS STRICTLY LIMITED TO THE TOTAL FEES YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- WE ARE NOT LIABLE FOR DAMAGES ARISING FROM AI-GENERATED CONTENT. AI REPLIES ARE DRAFTS — YOU REMAIN RESPONSIBLE FOR REVIEWING AND APPROVING THEM BEFORE THEY ARE SENT.
13. Indemnification
You agree to defend, indemnify, and hold harmless Drop Sigma, its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your misuse of the Service or breach of these Terms.
- Your violation of any law or third-party rights (including privacy and IP rights).
- Content sent via the Service, including AI-drafted emails that you approve or auto-send.
- Your failure to obtain proper customer consents required by GDPR, CCPA, CAN-SPAM, or similar laws.
14. Disputes & Governing Law
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The exclusive jurisdiction for any dispute arising out of or relating to these Terms is the state and federal courts located in Delaware, USA — except where mandatory consumer-protection law allows you to bring claims in the courts of your country of residence.
Before initiating any legal proceeding, you agree to first contact us at support@dropsigma.com to attempt informal resolution. We will work in good faith to resolve the dispute within 60 days.
15. Changes to Terms
We may revise these Terms from time to time. For material changes — for example, changes to billing, liability, or jurisdiction — we will notify the primary account contact at least 30 days in advance by email and via a dashboard banner. The "Last updated" date at the top of this page always reflects the most recent revision.
Continued use of the Service after the effective date of the revised Terms constitutes acceptance of the new Terms. If you do not agree, you may cancel before the effective date.
16. Miscellaneous
- Entire agreement — these Terms, together with the Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and Drop Sigma regarding the Service.
- Severability — if any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- No waiver — our failure to enforce any right is not a waiver of that right.
- Assignment — you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Third-party services — the Service integrates with Shopify, Google, Anthropic, Stripe, Resend, and Railway. Your use of those services is governed by their own terms.
