Terms of Service

Summary Drop Sigma is a multi-tenant SaaS for Shopify merchants providing AI email automation, RMA workflows, vendor management, and team chat. Subscriptions are billed externally at dropsigma.com through Stripe — not through Shopify's in-app billing API. By signing up, you agree to the following terms.

1. Acceptance

By signing up for, accessing, or otherwise using Drop Sigma (the "Service"), you ("Merchant", "Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms form a binding contract between you and Drop Sigma ("we", "us", "our"), a United States-based service.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and the term "you" refers to that entity.

6. Fair Use

Some plans are marketed as offering "unlimited" usage of certain features (for example, unlimited email replies). "Unlimited" is subject to the following soft caps, intended only to prevent abuse and protect platform stability:

Tenants whose usage materially exceeds these limits may be contacted for a review of their use case. In rare cases of clear abuse, we may rate-limit specific features, require an upgrade to a higher plan, or — for severe misuse — suspend the account. We will always attempt to contact you before taking action.

7. Service Availability

We target 99.5% monthly uptime on a best-effort basis. We do not offer a binding SLA on the free tier of the Service. Paid tiers may have specific SLA terms documented in their plan pages.

8. Intellectual Property

Drop Sigma — including its name, logo, software, documentation, design system, AI prompt engineering, and platform code — is owned by Drop Sigma and protected by copyright, trademark, and other intellectual-property laws.

We grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your business while your subscription is active and you remain in compliance with these Terms. All rights not expressly granted are reserved.

9. Data Ownership

You retain all rights, title, and interest to the data you upload to Drop Sigma or that we sync from your connected stores and email accounts ("Customer Data"). Drop Sigma processes Customer Data solely under your authority, as a data processor on your behalf, in accordance with our Privacy Policy.

You grant Drop Sigma a limited licence to host, copy, transmit, display, and process Customer Data as necessary to deliver the Service. You are responsible for ensuring you have the legal right to sync that data into Drop Sigma — including consents required from your end customers under GDPR, CCPA, and any other applicable law.

You agree to defend, indemnify, and hold harmless Drop Sigma, its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

14. Disputes & Governing Law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The exclusive jurisdiction for any dispute arising out of or relating to these Terms is the state and federal courts located in Delaware, USA — except where mandatory consumer-protection law allows you to bring claims in the courts of your country of residence.

Before initiating any legal proceeding, you agree to first contact us at support@dropsigma.com to attempt informal resolution. We will work in good faith to resolve the dispute within 60 days.

15. Changes to Terms

We may revise these Terms from time to time. For material changes — for example, changes to billing, liability, or jurisdiction — we will notify the primary account contact at least 30 days in advance by email and via a dashboard banner. The "Last updated" date at the top of this page always reflects the most recent revision.

Continued use of the Service after the effective date of the revised Terms constitutes acceptance of the new Terms. If you do not agree, you may cancel before the effective date.
